Terms of Use

1. INTRODUCTION

This unified legal document (“Agreement”) governs your use of the KOLS ecosystem, including the 7KOLS participation system, KOLS Staking, KOLS NFT Badge program, all websites, dApps, APIs, and smart-contract interfaces (“Services”).

By accessing or using the Services, you fully agree to this Agreement. If you disagree with any part of this document, do not use the Services.

2. RESTRICTED COUNTRIES (Korea & United States — Strict Ban)

The KOLS ecosystem cannot be accessed or used by:

• South Korean citizens, residents, or individuals located in Korea
• United States citizens, residents, green card holders, or anyone located in the United States (including territories)

You are strictly prohibited from accessing the Services if you fall into any of the categories above. Attempting to access the Services from these jurisdictions is solely your responsibility.

3. IP BLOCKING (Korea & USA)

The platform enforces automated IP blocking:

• All IP addresses originating from South Korea or the United States are automatically denied access.
• VPN/proxy detection may be used to prevent circumvention.
• Users are fully liable for bypassing IP filtering.
• The KOLS ecosystem is not responsible for damages or legal actions arising from unauthorized access.

4. NO FINANCIAL, INVESTMENT, OR SECURITIES PRODUCT

The Services are not:

• an investment
• a financial product
• a security
• a deposit
• a pooled fund
• a yield-bearing account
• a guarantee of profit
• a money-service business

No guaranteed returns, profits, yields, or appreciation exist. All participation is voluntary and at your own risk.

5. BLOCKCHAIN AUTOMATION ONLY

All KOLS functionalities operate via autonomous smart contracts. Specifically:

• No administrator controls funds.
• No human distributes rewards.
• No entity handles custody of assets.
• Transactions are final, irreversible, and outside the project’s control.

6. KOREA LEGAL COMPLIANCE (유사수신·다단계 방지 조항)

✔ Not “유사수신행위” under Korean law

Because the project:

• does not collect deposits,
• does not promise repayment,
• does not operate or manage customer funds,
• does not offer interest or returns.

✔ Not “다단계판매” under the Korean Door-to-Door Sales Act

Because:

• no products are sold,
• no payments flow from participant to participant,
• no recruitment compensation exists,
• smart contracts distribute rewards automatically based on participation events.

7. U.S. REGULATORY COMPLIANCE (SEC, FINCEN, CFTC)

✔ Not a Security (SEC)

• No expectations of profit based on efforts of others.
• No token sale.
• No common enterprise.

✔ Not a Money Service Business (FinCEN)

The platform:

• does not custody funds,
• does not perform money transmission,
• does not operate accounts for users.

✔ Not a Commodity/Futures Product (CFTC)

• No leverage, swaps, margin, or derivatives.

✔ OFAC

U.S. persons are strictly prohibited from using the Services.

8. PARTICIPATION & NFT BADGES

Participation in KOLS may generate NFT participation badges, which:

• serve as on-chain proof of involvement,
• may potentially grant future privileges or early access features,
• do not guarantee financial value or benefits.

NFTs are collectibles only and not investments.

9. STAKING & TOKEN PURCHASE

To join KOLS Staking:

• Users must purchase KOLS tokens on Uniswap themselves.
• Staking is optional.
• No guaranteed yield.
• Staking is not a deposit or investment product.
• Staked tokens may face smart contract risks.

All staking actions are at your sole risk.

10. USER RESPONSIBILITIES

You are responsible for:

• your wallet security,
• gas fees,
• transaction errors,
• loss of private keys,
• legal compliance in your jurisdiction.

We do not recover lost funds or reverse transactions.

11. PROHIBITED ACTIVITIES

You must not:

• use the Services for illegal financial activity,
• promise earnings to others,
• misrepresent the project as investment advice,
• bypass IP restrictions,
• use the Services for money laundering or fraud,
• recruit others using misleading claims.

12. “NOT AN INVESTMENT PRODUCT” (Enhanced Disclaimer)

The Services provide no expectation of profit, including:

• no fixed yield,
• no staking interest guarantee,
• no token price promise,
• no NFT value guarantee,
• no redistribution guarantee.

All potential rewards are algorithmic contract outputs, not investment returns. You accept full responsibility for any loss, gas fees, or unrealized rewards.

13. PRIVACY POLICY (GDPR / CCPA COMPLIANT)

We respect your data privacy. This section details how user data is handled.

1) Data We Collect

We may collect:

• Wallet addresses
• Transaction data
• Public blockchain data
• Optional email (if voluntarily submitted)
• IP-related data for compliance & security

KOLS does not collect private keys or any sensitive personal data.

2) GDPR Rights (EU Users)

If an EU user illegally accesses the Services (against our restrictions), the user retains GDPR rights:

• Right to access
• Right to deletion
• Right to data correction
• Right to processing restriction
• Right to portability

3) CCPA Rights (California Users)

Although U.S. users are banned, if a California resident bypasses restrictions, they retain:

• Right to know
• Right to delete
• Right to non-discrimination

• Data is stored securely and never sold or shared.
• Blockchain data is publicly visible by design.

5) Cookies / IP Logs

The website may use:

• cookies,
• IP logs,
• geolocation checks,

for security, fraud prevention, and restricted-country enforcement.

14. RISK DISCLOSURE STATEMENT (High-Risk Environment Notice)

Using blockchain services involves substantial risks, including but not limited to:

• Smart contract bugs,
• Network congestion,
• Transaction failure,
• Gas fee spikes,
• Token volatility,
• Permanent loss of assets,
• Blockchain forks,
• Node/RPC outages,
• Exploits and hacks.

You agree that all risk is yours alone.

15. NO WARRANTY / LIMITATION OF LIABILITY

The Services are provided “AS IS”, with:

• no warranties,
• no guarantees,
• no service promises,
• no uptime guarantees,
• no guaranteed functionality.

Under no circumstances shall the KOLS team be liable for:

• lost assets,
• failed transactions,
• loss of NFTs or tokens,
• regulatory penalties,
• indirect or consequential damages.

16. AMENDMENTS

This Agreement may be updated at any time. Continued use of the Services constitutes acceptance of the updated terms.
